Quote Agreement
The purpose of this Quote Agreement (hereafter referred to as the "Agreement") is to precede a longer-term contract arrangement under which Jellyfish.IT will provide the Client web site design & development services.
The Client agrees that the information requested from Jellyfish.IT is confidential, proprietary and may contain trade secrets. The Client understands that it will be provided in confidence and agrees not to disclose this information to any third parties and that this obligation of confidentiality shall extend for a period of three (3) years from the date of disclosure by Jellyfish.IT.
Jellyfish.IT agrees to perform the described services. Work may be started on the final site before a contract is entered into between the parties and is understood and agreed by the parties to be part of this Agreement until such time as a contract is entered into by the parties.
In consideration of Jellyfish.ITs’ performance of these services, Client agrees to pay 50% of the total cost for the site development. Payment shall be made in advance of commencing the work unless otherwise arranged between the Client and Jellyfish.IT.
Client agrees to pay all of Jellyfish.ITs’ extra expenses in connection with this Agreement, including equipment, copyright and other intellectual property rights material and any other third party expense relating to the Agreement. All expenses shall be presented to Client for pre-approval in writing.
To activate this Agreement, Client will submit a payment for 50% of the final project cost to Jellyfish.IT. The future contract to be entered into by the parties will define payment terms for the balance of the project amount. In the event a contract is not entered into by the parties to this Agreement, all copyright and other intellectual property rights to material generated by Jellyfish.IT shall remain with Jellyfish.IT. Client further agrees that during the pendency of this Agreement the Client will not take any designs or other work performed or developed by Jellyfish.IT under the terms of this Agreement to any other web site developer not a party to this Agreement.
Jellyfish IT will, where deemed necessary, sub-contract extension work to 3rd party developers. We will obtain permission from the client before proceeding and this will need to be confirmed from the client in writing either by email or post prior to the work being carried out.
If the work is to be completed on a live environment then we will take a back-up of both the file system and database as close as possible to the work commencing but it is possible that any orders placed within this time frame could be lost and Jellyfish IT cannot be held accountable for this or any other problems that arise as part of these works and as such are not liable for any financial penalties as a result of this. Any work carried out to remedy any issues that arise as a result of work carried out by 3rd party developers that is completed by Jellyfish IT will be chargeable at the Jellyfish IT standard hourly rate.
The parties agree that Jellyfish.IT retains all copyright and other intellectual property rights to the work contemplated by and started under the terms of this Agreement. Copyright terms will be set when the Agreement is replaced by a contract, and will include a release of copyright to Client upon fulfillment of all terms of the contract, including payment in full.
The parties agree that in the event of a breach of this Agreement damages may be difficult to ascertain or prove. The parties therefore agree that if the Client breaches this Agreement, Jellyfish.IT shall be entitled to seek relief from a county court, including injunctive relief, and shall be entitled to an award of liquidated damages in the amount of £10,000.
